SEC wants name of ultimate tender offeror of DSGT
The Securities and Exchange Commission has ordered North Heaven Private Equity Asia Co Ltd, the tender offeror of listed DSG International (Thailand) (DSGT), to disclose more information on the ultimate tender offeror.
The regulator said that such information is material to the DSGT shareholders’ decision making whether to accept or decline the tender offer.
The deadline for the additional disclosure is September 19.
North Heaven filed a voluntary tender offer for DSGT on September 5. The SEC said that the initial disclosure, prepared by financial advisor Bualuang Securities, did not contain the details of the ultimate tender offeror and contained no information on the identity of the shareholders or the person(s) with the ultimate power of control of the tender offeror.
