
PTT Global Chemical and SCG Chemicals target an October 2026 agreement to consolidate olefins and polyolefins assets into a regional joint venture.
Thai petrochemical leaders PTT Global Chemical Public Company Limited (GC) and SCG Chemicals Public Company Limited (SCGC) have entered confirmatory due diligence to establish a landmark joint venture (JV), targeting a final agreement on transaction terms and ownership structure by October 2026.
The proposed consolidation aims to forge a regional industry leader by combining both companies' domestic olefins and polyolefins businesses.
Under the framework currently being evaluated, GC will serve as the majority shareholder, while SCGC will retain a significant equity stake in the newly created entity.
The joint venture’s scope encompasses GC’s domestic olefins and polyolefins operations—including its equity stake in HMC Polymers Co., Ltd.—alongside SCGC’s domestic assets, such as its olefins crackers, polyethylene (PE), and polypropylene (PP) plants.
Furthermore, the new JV company will assume ownership of SCGC’s equity stakes in several key industry ventures:
Siam Polyethylene Co., Ltd.
Siam Synthetic Latex Co., Ltd.
Thai MMA Co., Ltd.
Bangkok Synthetics Co., Ltd.
By unifying their operational footprint, GC and SCGC aim to capture significant supply chain synergies, optimise feedstock management, and streamline downstream manufacturing toward higher-value, diversified products.
The combined entity is expected to deliver economies of scale that bolster Thailand's long-term competitive position across both regional and global petrochemical markets.
Entering the confirmatory due diligence phase allows both corporations to verify operational datasets, finalise valuation structures, and quantify projected synergy value.
Execution of the transaction remains subject to final board approvals from both parent companies and regulatory authorisation from the Trade Competition Commission of Thailand (TCCT), alongside other relevant governmental authorities.
Both firms emphasised that the collaboration study will proceed with strict diligence to ensure sustainable value creation for domestic supply chains and downstream industries.
